1. Who we are and acceptance of these Terms
LiquidONE ("LiquidONE", "we", "us" or "our") is a software business operated from Victoria, Australia. We provide the websites at liquid1trade.com and app.liquid1trade.com, the LiquidONE trading automation platform, the strategy marketplace, the LiquidONE Terminal command-line tool, and all related software, APIs, documentation and support (together, the "Services").
These Terms form a binding agreement between you and LiquidONE. You accept them by ticking the acceptance box at sign-up, by creating an account, or by using any part of the Services, whichever happens first. They incorporate our Privacy Policy, Risk Disclosure Statement and Cookie Policy. Where you purchase or sell strategies through the marketplace, the marketplace provisions in sections 12 to 14 also apply. If any product-specific terms shown at the point of purchase conflict with these Terms, the product-specific terms prevail for that purchase.
2. Eligibility
To use the Services you must:
- be at least 18 years of age and have legal capacity to enter into a binding contract;
- not be located in, or a resident of, a jurisdiction where use of automated trading software or any part of the Services is prohibited by law;
- not be subject to sanctions administered by Australia, the United Nations, the United States, the European Union or any other applicable authority, and not use the Services in breach of export control laws; and
- comply with the terms of any broker, exchange or third-party service you connect to LiquidONE.
You are responsible for determining whether your use of automated trading software is lawful in your jurisdiction and for complying with all laws that apply to you, including financial services, market conduct and tax laws. If you use the Services on behalf of a company, you warrant that you have authority to bind it, and "you" includes that company.
3. Your account
You must register an account to use most of the Services. Authentication is handled by our identity provider, Better Auth. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity that occurs under your account, including trades placed by bots you configure, orders triggered by webhooks you set up, and actions taken through API keys, CLI tokens or devices you have authorised, unless the activity results from our failure to take reasonable security measures.
Notify us immediately at hello@liquid1trade.com if you suspect unauthorised access to your account. One person per account; accounts may not be shared, sold, leased or transferred. If you complete identity verification, your account name is locked to your verified legal name as described in section 15.
4. The Services
LiquidONE is a self-directed trading automation toolkit. Depending on your plan, it includes:
- a no-code strategy builder, strategy templates and an advanced custom-code option;
- an execution engine that translates your configured strategies into orders routed to your own broker or exchange accounts, or to the built-in paper trading simulator;
- hard risk guardrails you configure (such as daily loss limits, position size caps, a portfolio-level kill switch, a prop-firm tracking mode and an emergency stop);
- a live decision feed, trade journal, analytics, calculators, market data views, forward testing, backtesting and an economic calendar;
- copy trading between your accounts, a strategy marketplace, alerts (including email, Discord alerts and outbound webhooks), inbound TradingView webhooks, public bot sharing and embeds, API and MCP access, the LiquidONE Terminal CLI, and the AiCopilot AI copilot.
Plan entitlements (account limits, bot limits, live trading, copy trading, AI analysis, API access) are described on the pricing page and may change as set out in sections 17 and 31. Features described as beta, experimental or coming soon may change or be withdrawn without the notice periods that apply to established paid features.
5. No financial advice, no AFSL
We are not a broker, dealer, market maker, investment adviser, fund manager or fiduciary. We do not hold, control or take custody of your money or assets at any time; your funds remain with your broker or exchange. We do not recommend, endorse or select trades, strategies, instruments or markets for you. All strategy selection, configuration, risk settings and the decision to run a bot on a live account are made solely by you.
Any content on the platform, in our documentation, in AI-generated output or in marketplace listings is general information only. Before acting on it, consider its appropriateness to your own circumstances and consider obtaining advice from a professional adviser who is licensed to give it.
6. Broker connections and API keys
To trade live you must connect a supported third-party broker or exchange account (currently Alpaca, Interactive Brokers, Coinbase Advanced, Binance and Kraken) using API keys that you generate with that provider. By adding keys you authorise LiquidONE to use them to read account data and place, modify and cancel orders in accordance with the strategies you configure.
- We strongly recommend creating keys with trading permission only, and never granting withdrawal or transfer permission. LiquidONE never needs, and will never ask for, withdrawal permission.
- API keys are encrypted at rest using AES-256 and are decrypted only inside our backend execution environment. They are never exposed to your browser or to other users.
- You can revoke access at any time by deleting the connection in LiquidONE and revoking the key with your broker.
Your relationship with your broker or exchange is governed by your separate agreement with them. We are not a party to that agreement, we do not guarantee that a broker will accept, execute or fill any order, and we are not responsible for a broker's acts, omissions, downtime, rate limits, fees, account restrictions or insolvency. Brokers shown as "coming soon" (currently Oanda, Tradovate and Charles Schwab) cannot be selected for live routing and no live orders are sent to them.
7. Paper trading
The LiquidONE Simulator executes simulated fills against real market data. Paper trading involves no real money and creates no rights against us or any broker. Simulated results differ from live results for reasons explained in the Risk Disclosure Statement, including the absence of real liquidity, slippage, fees and rejection behaviour. Success in paper trading is not an indication of likely live performance. You may reset a paper account's balance; statistics shown for a reset account are computed from the reset onward or labelled as all-time, and prior history is retained in your journal.
8. Automated strategies and risk controls
LiquidONE executes the instructions you configure. You are solely responsible for the design, parameters, testing and ongoing supervision of every bot you run. In particular:
- you must review and set risk controls (daily loss limits, position sizing, session windows, portfolio drawdown limits) before enabling live trading, and keep them appropriate for your account;
- risk controls are software features, not guarantees. They can be defeated by gaps, halts, broker outages, API failures or extreme volatility, and losses can exceed configured limits;
- the emergency stop and the portfolio kill switch attempt to cancel open orders, flatten positions and block new entries, but completion depends on your broker accepting those instructions in time;
- features that rely on scheduled or third-party data, such as the economic calendar and the news pause setting, depend on that data being available and complete. If the underlying data is missing or delayed, the feature may not act;
- prop-firm tracking mode is an informational tool that mirrors common funded-account rules. Your prop firm's own systems and contract decide whether you have breached its rules, not ours;
- you must monitor your bots and your broker account during live market hours and disable any bot that is not behaving as you intend.
We may pause or stop a bot, or restrict live execution, where we reasonably believe it is malfunctioning, breaching these Terms, harming the platform, or exposing you or us to legal or security risk. We will tell you when we do this unless the law prevents us.
9. Custom strategy code
Advanced plans let you supply your own strategy logic, including JavaScript, Python, Pine Script or TradingView-style code, which LiquidONE validates and executes in a sandboxed environment. For any code you supply:
- you are solely responsible for its logic, correctness and behaviour, including in abnormal market conditions;
- our validation and sandboxing are safety measures for the platform, not a review of your strategy's quality or profitability;
- you must not submit code that attempts to escape the sandbox, access other users' data, abuse platform resources or interact with markets unlawfully;
- you retain ownership of your code, and you grant us the licence in section 23 so we can run it for you.
10. Copy trading
Copy trading replicates fills from a master account onto follower accounts you control, using the sizing mode, symbol filters, size bounds and per-trade risk cap you configure. Copy trading is a replication tool between your own connected accounts; it is not a managed investment scheme, and we do not operate a facility for copying other people's live accounts. You are responsible for every copied order, and replication is subject to the same execution and technology risks as any other automated order, including partial fills, divergent prices between accounts and broker rejections. Read the copy trading section of the Risk Disclosure Statement before enabling it.
11. AI features (AiCopilot)
AiCopilot is our AI copilot. It powers the in-app chat, the AI Strategy Analysis feature, which reads a bot's recent trades and proposes parameter changes, and the custom-strategy compiler. AiCopilot runs on large language models supplied by third-party providers (currently Google). For all AI features:
- AI output can be inaccurate, incomplete or wrong, and may not reflect current market conditions. It is general information, not financial product advice, and no AI suggestion is a recommendation to trade;
- you decide whether to apply any AI-proposed change, and you remain responsible for the result;
- AI usage is metered by tokens over rolling 5-hour and 7-day windows that vary by plan, and additional usage can be funded from your prepaid balance if you enable that option. Limits are shown on the usage page and may be adjusted to keep the feature sustainable;
- content you submit to AI features is processed as described in our Privacy Policy. Do not submit content you do not have the right to share.
12. Marketplace: buying strategies
The strategy marketplace lets users publish strategy configurations that other users can buy. Listings are created by sellers, not by LiquidONE, and are priced by the seller in Australian dollars (some listings are free). When you buy a listing:
- you receive a personal, non-exclusive, non-transferable licence to use the strategy within your own LiquidONE account. You may not resell, republish, share or redistribute it;
- a copy of the strategy is added to your account when payment confirms. If the seller did not allow modifications, your copy is locked to the listed configuration: you can run it and set your own risk limits, but not edit its parameters;
- you are buying a configuration, not a result. Any statistics shown for a listing are historical or simulated, are captured at the time of listing, and are not a promise of future performance;
- LiquidONE does not vet, endorse or verify the profitability of any listing. Running a purchased strategy on a live account is your decision and your risk;
- payment is collected at the price shown at checkout through our billing providers (Autumn as the billing platform, with payment processed by Stripe). Your rights in relation to faulty digital products under the Australian Consumer Law are described in section 18.
13. Marketplace: selling and payouts
If you list strategies for sale, the following applies:
- Eligibility. Listing requires completed identity verification under section 15. Accounts on the Free plan must be at least 30 days old before they can list.
- Fees and split. LiquidONE retains a platform fee of 30% of each sale (which covers payment processing and infrastructure) and credits 70% of the sale price to your seller balance, held in Australian dollars. The current split is shown when you create a listing; we may change it prospectively with notice.
- Your warranties. You warrant that you own or have all rights in the strategy you list, that your listing (including its title, description and any performance figures) is accurate and not misleading or deceptive, and that it complies with the law, including the Australian Consumer Law and financial services laws that apply to you.
- No advice through listings. A listing must describe the strategy; it must not promise returns, guarantee outcomes or present itself as personal financial advice.
- Withdrawals and payouts. You may request a payout of your seller balance once it reaches the minimum withdrawal amount (currently AUD $50). Payouts require completed identity verification under section 15. Withdrawal requests are reviewed manually and are paid to the payout destination you nominate. We may reject a withdrawal request, withhold funds, and suspend or terminate your account if the name on your nominated payout destination does not match the verified identity on your LiquidONE account, or if we reasonably suspect fraud. We may withhold or reverse amounts connected to fraud, chargebacks, refunds or breaches of these Terms.
- Taxes. Amounts credited to you are gross of your taxes. You are responsible for your own tax obligations on marketplace earnings, including income tax and GST registration if applicable to you.
- Removal. We may unpublish or remove a listing that we reasonably believe is misleading, infringing, unlawful or harmful, or that generates disproportionate refunds or complaints.
LiquidONE acts as the operator of the marketplace and as the seller's limited agent for collecting payment from buyers. We are not the seller of listed strategies and we are not a party to the licence between buyer and seller, except for the platform obligations described in these Terms.
14. Marketplace: reviews and signed attestations
Buyers can review strategies they have purchased. To keep reviews genuine, a review can only be left by an account that completed the purchase, one review per listing, and only after the reviewing account is at least 30 days old. Reviews must reflect your honest experience. Do not post fake, incentivised, retaliatory or defamatory reviews, and do not review your own listings from another account. Reviews are the opinion of their author, not of LiquidONE. We may remove a review that breaches these rules or the law; we do not remove reviews merely because they are negative.
Performance figures shown for listings and public embeds may carry a cryptographic attestation: a digital signature over the exact figures displayed, verifiable against our published public key. An attestation proves the figures were produced by LiquidONE and not altered afterwards. It does not verify that a strategy is profitable, suitable or likely to repeat its past performance, and it is not an endorsement.
15. Identity verification and anti-fraud
To protect the integrity of the platform, meet our anti-money-laundering and anti-fraud obligations, and protect real-money payouts, we require identity verification (KYC) in certain situations:
- When verification is required. You must complete identity verification (including a government-issued ID scan and a biometric liveness check) before you can list strategies for sale or request marketplace payouts. We may also require verification where we reasonably suspect fraud or where the law requires it.
- How it works. Verification is performed by our third-party provider, Didit. Your documents and biometric data are captured by and processed through Didit; we receive and store the outcome (verified or not, and when), and we check that the name on your document matches the name on your account. The details are in our Privacy Policy.
- Name locking. The name on your verified identity document must match the name on your LiquidONE account. Once verified, your account name is locked and attempts to change it are automatically reverted. Contact support if your legal name changes; we will ask you to re-verify.
- Right to reject. We may reject a verification attempt or payout request if we reasonably suspect fraud, identity misuse or manipulation of the verification process, and we may suspend accounts involved in such attempts.
- Minimum age. Verification also confirms that you are 18 or older. Accounts that fail age verification are closed.
16. Referral program
You may share your personal referral link. When a new user signs up through it, a referral cookie (valid for 30 days) attributes the signup to you. The program currently pays two rewards, both credited to your referral balance in Australian dollars:
- a signup reward (currently AUD $2) when a referred user qualifies, capped at 10 rewarded referrals per referrer per rolling 24 hours. Referrals beyond the cap are still attributed but earn no reward.
Referral rules:
- self-referrals, duplicate accounts, bots, incentivised or misleading promotion, and spam (including anything that would breach the Spam Act 2003 (Cth)) are prohibited;
- each new user can be attributed to one referrer only, determined by the referral cookie or the referral code entered at signup;
- referral credits are a discount instrument: redeeming them converts the balance into billing credit applied against your future LiquidONE charges. Redemption requires an existing billing relationship with us. Credits are not transferable, have no cash value and are not redeemable for cash except where the law requires;
- we may withhold or reverse credits obtained in breach of these rules and may change or end the program prospectively at any time. Reward amounts, caps and qualification rules shown in the app apply at the time a referral occurs.
17. Subscriptions, billing and prepaid balance
Paid plans (currently Trader, Pro and Elite) are billed as recurring monthly subscriptions in Australian dollars (AUD) through our subscription billing platform, Autumn, with payments processed by Stripe. The exact amount and currency are shown at checkout before you pay. Where GST or another tax applies to your purchase, it will be shown at checkout or in your receipt. Marketplace purchases are also priced and charged in Australian dollars, as described in section 12.
- Auto-renewal. Subscriptions renew automatically at the end of each billing cycle until you cancel. You can cancel any time through the billing portal in Billing settings; you keep paid features until the end of the current cycle.
- Upgrades and downgrades. Upgrades take effect immediately with a prorated charge. Downgrades take effect at the next cycle. If a downgrade leaves you over your new plan's limits, the excess is disabled, not deleted: bots on out-of-plan accounts are stopped, excess accounts are deactivated and copy links are paused until you are back within your limits.
- Prepaid balance. You may top up a pay-as-you-go balance (currently between $5 and $1,000 per top-up, charged in the currency shown at checkout) to fund usage beyond your plan, such as additional AI tokens. You can turn use of this balance on or off in Billing settings. The balance is a prepayment for LiquidONE services only: it is not a deposit, earns no interest, is not transferable and is not withdrawable, except where the law requires or where we choose to refund it on account closure.
- Price changes. We may change subscription prices with at least 30 days' notice before the change applies to you. If you do not accept a price change, cancel before your next renewal; continuing past renewal means the new price applies.
- Failed payments. If a renewal payment fails we may retry it and, after reasonable attempts and notice, downgrade the account to the Free plan. Live bots on a downgraded account stop opening new positions.
18. Refunds and the Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth), the "ACL"). For major failures with a service, you are entitled to cancel the service and receive a refund for the unused portion, or to compensation for its reduced value; you are also entitled to be compensated for other reasonably foreseeable loss or damage. If the failure is not major, you are entitled to have it fixed within a reasonable time.
- Subject to your ACL rights and any other rights that cannot be excluded, subscription fees, prepaid balance top-ups and marketplace purchases are not refundable for change of mind.
- Trading losses are not a failure of the Services and are never refundable by us; they are inherent to markets and to decisions you make.
- To request a remedy, contact hello@liquid1trade.com with your account email and the issue. We will respond within a reasonable time and process any refund to your original payment method.
- Where a marketplace purchase is refunded, the buyer's cloned strategy licence ends, and we may reverse the corresponding seller earnings from the seller's balance.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy you have under the ACL or any other law that cannot lawfully be excluded, restricted or modified.
19. Market data, integrations and webhooks
The Services display market data, quotes and news sourced from third parties (including exchange APIs and public market data services). Market data is provided for information only, may be delayed, incomplete or inaccurate, and must not be redistributed. We do not warrant its accuracy or timeliness, and we cross-check feeds and block new entries on instruments whose feed we detect as degraded, without guaranteeing that every fault is detected.
Outbound integrations. You may configure outbound webhooks and Discord alerts that send your data (such as trade and risk events) to endpoints you nominate. When you configure an integration, you authorise us to send the relevant data to the endpoint you chose, and you are responsible for the security and privacy practices of that endpoint.
Inbound webhooks. You may generate per-account inbound webhook URLs (for example for TradingView alerts) that can open, manage and close real positions on that account, subject to your configured risk controls. The webhook URL and its secret are credentials: anyone who has them can trade the connected account. Keep them secret, rotate them if exposed, and delete them when no longer needed. Signals delivered by third parties are executed as received; we do not review them.
Third-party services are governed by their own terms, and we are not responsible for their availability, accuracy or conduct.
20. API, CLI and programmatic access
Plans with API access may use our API and MCP (Model Context Protocol) endpoints to read data and operate their own account programmatically, including adjusting strategies, starting and stopping bots and triggering the emergency stop. The LiquidONE Terminal CLI provides the same kind of access from your own machine after you pair it with your account using a device code that you approve while signed in.
- API keys, MCP keys, CLI tokens and paired devices are personal to your account. Keep them secret; anything done with them counts as done by you (section 3);
- you can revoke a paired terminal at any time in settings, and CLI tokens expire automatically;
- respect our rate limits, and do not use programmatic access to circumvent plan limits, scrape other users' data or resell access;
- we may throttle, suspend or revoke programmatic access that degrades the platform or breaches these Terms. The API may change; where a change is breaking we will give reasonable notice where practicable.
22. Acceptable use
You must not, and must not attempt to:
- use the Services for market manipulation, spoofing, layering, wash trading, front-running, insider trading or any other unlawful market conduct;
- use the Services in breach of your broker's, any exchange's, or your prop firm's terms;
- access another user's account or data, probe or test the security of the platform without written permission, or interfere with the integrity of the Services;
- reverse engineer, decompile or copy the Services except to the extent the law permits despite this restriction;
- overload our infrastructure, evade rate limits, scrape at scale or introduce malicious code;
- use the Services to launder money, evade sanctions or finance unlawful activity;
- manipulate reviews, referral rewards, marketplace statistics or identity verification;
- misrepresent your results, impersonate LiquidONE, or use our marks without permission.
We may investigate suspected violations and may suspend or terminate accounts involved in them as set out in section 25.
23. Intellectual property and your content
We (and our licensors) own the Services, including all software, design, text, graphics, models, trade marks and know-how. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose while your account is in good standing.
You own the content you create in LiquidONE, including your strategies, custom code, journal entries, reviews and settings ("Your Content"). You grant us a worldwide, royalty-free licence to host, store, process, transmit, display and back up Your Content solely to operate, secure and improve the Services, to comply with law, and, where you list a strategy on the marketplace, publish a review, or share or embed a bot publicly, to display it as you have directed. Buyers of your marketplace listings receive the licence described in section 12 directly from you. We do not sell Your Content and we do not use your private strategies to train public AI models.
If you give us feedback or suggestions, we may use them without restriction or obligation to you.
24. Privacy
Our collection, use and disclosure of personal information, including the identity verification data described in section 15, is explained in our Privacy Policy, which complies with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Cookies and similar technologies are described in the Cookie Policy. We may send you service and transactional messages (receipts, security alerts, bot and trade notifications, daily summaries) as part of operating the Services; marketing messages are controlled separately as described in the Privacy Policy.
25. Availability, suspension and termination
We aim for high availability but the Services are not guaranteed to be uninterrupted or error-free. We may modify features, run maintenance, or discontinue parts of the Services; if we discontinue a material paid feature, we will give reasonable notice and, where required by law, a proportionate remedy. We are not liable for delay or failure caused by events beyond our reasonable control, including outages of brokers, exchanges, data providers, cloud infrastructure or telecommunications, but this does not limit your rights under the ACL.
- By you. You may stop using the Services and delete your account at any time in Settings.
- By us. We may suspend or terminate your access with immediate effect if you materially breach these Terms, if required by law, or to protect the Services or other users. For less serious breaches we will give you notice and a reasonable opportunity to remedy first.
- Effect. On termination your licence ends, live bots are stopped, connected accounts are deactivated, paired terminals are revoked, and we handle your data as described in the Privacy Policy, including retention of financial records the law requires us to keep. Sections 13 and 16 (for accrued balances), 18, 23 and 26 to 31 survive termination. Accrued marketplace seller balances remain payable, subject to sections 13 and 15.
Suspension or termination for your material breach does not entitle you to a refund of fees for the remainder of the billing period, except where the ACL or other law requires otherwise.
26. Disclaimers
Subject to section 18 and to any guarantees or rights that cannot lawfully be excluded, the Services are provided "as is" and "as available", and we exclude all other conditions, warranties and guarantees, whether express or implied, including fitness for a particular purpose. We do not warrant that the Services will be uninterrupted, secure or error-free, that market data will be accurate, that orders will be executed at any particular time or price, or that any strategy, backtest, AI output or marketplace listing will be profitable. Past performance and simulated performance are not indicators of future results.
27. Liability
Nothing in these Terms excludes, restricts or modifies any liability that cannot lawfully be excluded, including under the ACL, or any liability for fraud, or for death or personal injury caused by negligence.
Where our services are not of a kind ordinarily acquired for personal, domestic or household use, our liability for a failure to comply with a consumer guarantee is limited, at our option and to the extent permitted by section 64A of the ACL, to supplying the services again or paying the cost of having the services supplied again.
Subject to the above, to the maximum extent permitted by law: (a) we are not liable for trading losses, loss of profits, loss of opportunity, loss of data, or indirect or consequential loss, however caused, including losses arising from broker conduct, market movements, connectivity failures, software errors, third-party services, webhook signals, AI output or strategies (yours or a marketplace seller's); and (b) our total aggregate liability to you for all claims arising out of or in connection with the Services is limited to the greater of AUD $150 and the amounts you paid to LiquidONE in the 3 months before the event giving rise to the claim.
28. Indemnity
To the extent permitted by law, you indemnify us against loss, liability and reasonable costs (including reasonable legal costs) we incur arising from your breach of these Terms, your unlawful conduct, Your Content (including marketplace listings and reviews you publish), or your infringement of a third party's rights, except to the extent the loss was caused by our own breach or negligence.
29. Dispute resolution
If you have a problem, contact hello@liquid1trade.com first and we will try to resolve it quickly. If a dispute is not resolved within 30 days, either party may refer it to mediation administered by the Resolution Institute (Australia) before commencing court proceedings, except where urgent injunctive relief is needed. Nothing in this section prevents you from making a complaint to a regulator, including Consumer Affairs Victoria, the ACCC or the OAIC, or from bringing a claim in a small claims tribunal such as VCAT where you are entitled to.
30. Governing law
These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia. If you use the Services from outside Australia, you may also have mandatory protections under your local law; these Terms do not reduce them.
31. General
- Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in-app before they take effect, except where a change is required urgently by law or for security. If you do not accept a change, stop using the Services and cancel before it takes effect; continued use after the effective date is acceptance.
- Assignment. You may not assign these Terms. We may assign them as part of a restructure, sale or merger, provided your rights are not materially reduced.
- Severability. If a provision is unenforceable it is severed to the minimum extent necessary and the rest remains in force.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms, together with the documents they incorporate, are the entire agreement between you and us about the Services.
- Notices. We may notify you by email to your account address or in-app. You may notify us at the address in section 32.
- Interpretation. "Including" means including without limitation. Headings are for convenience only. All amounts are in Australian dollars (AUD) unless expressly stated otherwise. Subscription prices are inclusive of GST.
32. Contact
